Terms of Service

1. Definitions

"Service" refers to the MCP360 platform, including all hosted MCP servers, the web dashboard, APIs, documentation, and related services operated by MCP360.

"User" or "You" refers to the individual or organization that creates an account and accesses the Service.

"MCP" refers to the Model Context Protocol, an open standard for connecting AI assistants to external data sources and tools.

"Connected Platform" refers to any third-party service (such as Meta Ads, Google Ads, Stripe, Salesforce, etc.) that you authorize MCP360 to access on your behalf via OAuth.

"Tool Call" refers to a single invocation of an MCP tool through the Service, regardless of the AI client used to initiate it.

2. Account Terms

You must register for an account to use the Service. You must be at least 18 years of age or the age of majority in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials, including your password and MCP API keys.

You are responsible for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately at security@mcp360.net if you become aware of any unauthorized access to your account.

You may not create an account on behalf of another person or entity without their authorization. Organizations may designate multiple users under a single organization account with appropriate role-based access controls.

3. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law, regulation, or third-party right; (b) circumvent or violate the terms of service of any Connected Platform; (c) generate spam, conduct fraud, or engage in unauthorized advertising activities; (d) reverse engineer, decompile, or attempt to extract the source code of our MCP server implementations; (e) resell, sublicense, or redistribute access to the Service without written permission from MCP360.

You agree not to: (a) share MCP API keys across unaffiliated organizations; (b) exceed your plan's usage limits through automated means designed to circumvent rate limiting; (c) use the Service to store or transmit malicious code; (d) interfere with or disrupt the Service or its supporting infrastructure.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

4. Payment Terms

The Service offers both free and paid plans. Paid plans are billed on a recurring monthly or annual basis at the rates published on our pricing page at the time of subscription.

You may upgrade, downgrade, or cancel your subscription at any time. Upgrades take effect immediately and are prorated. Downgrades and cancellations take effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period.

We reserve the right to change pricing with at least 30 days written notice to active subscribers. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

Payment processing is handled by Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service. Accounts with overdue payments may be suspended after a 7-day grace period.

5. API & MCP Terms

MCP API keys authenticate your AI client's connection to MCP360 servers. You are responsible for securing your API keys. Do not embed API keys in client-side code, public repositories, or unencrypted configuration files.

The Service provides both read and write MCP tools. Write operations (creating campaigns, modifying budgets, pausing ads) carry inherent risk. You acknowledge that AI agents may execute write operations based on natural language prompts, and you are responsible for the consequences of those operations.

We strongly recommend enabling approval workflows for write operations, especially those involving budget changes above your configured threshold. MCP360 is not liable for unintended changes made by AI agents acting on your behalf.

We impose rate limits on API usage based on your subscription plan. Exceeding rate limits will result in temporary throttling, not data loss. We reserve the right to adjust rate limits to protect service stability.

6. Data Processing

You retain ownership of all data you provide to or generate through the Service, including your ad account data, configuration settings, and reports.

By using the Service, you grant MCP360 a limited, non-exclusive license to process your data solely for the purpose of providing the Service. This includes temporarily decrypting OAuth tokens to execute MCP tool calls on your behalf.

We do not sell, rent, or share your data with third parties except as necessary to provide the Service (e.g., passing authorized API calls to Connected Platforms). We do not use your data to train AI models.

7. Intellectual Property

The Service, including its MCP server implementations, dashboard interface, documentation, and branding, is the intellectual property of MCP360 and is protected by applicable copyright, trademark, and trade secret laws.

Your subscription grants you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works based on the Service.

You retain all intellectual property rights to your data, brand assets, ad creatives, and other content you provide to the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MCP360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profit, data, or business opportunity, arising from your use of the Service.

MCP360 is not liable for: (a) actions taken by AI agents on your behalf, including unintended budget changes, campaign modifications, or data deletions; (b) outages or errors caused by Connected Platforms; (c) data loss resulting from your failure to maintain adequate backups; (d) damages resulting from unauthorized access to your account caused by your failure to protect your credentials.

Our total aggregate liability for any claims arising from these Terms shall not exceed the amount you paid to MCP360 in the 12 months preceding the claim.

9. Termination

You may terminate your account at any time by canceling your subscription and requesting account deletion through the dashboard or by emailing support@mcp360.net.

We may suspend or terminate your account: (a) immediately for violation of these Terms or Acceptable Use policies; (b) after 7 days written notice for non-payment; (c) with 30 days written notice for any other reason at our discretion.

Upon termination, your OAuth tokens and encrypted credentials are permanently deleted within 48 hours. Account data is retained for 90 days to allow for reactivation, after which it is permanently purged. Audit logs are retained for 12 months regardless of account status.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except where arbitration is prohibited by applicable law.

Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters relating to data security, intellectual property, or unauthorized access.
